The Opportunity
We are seeking a Board Director who can bring a strong Corporate Finance and Mergers and Acquisition lens to governance.
As the aged care sector faces increased financial pressures and a shift toward industry consolidation, your commercial acumen will help guide our strategic partnerships, joint ventures, or potential mergers.
We are looking for an individual with deep expertise in Corporate Finance and Mergers and Acquisition transactions together with experience operating at Board, executive or governance level.
Key Experience
In addition to the requirements of the Board Director Position Description, the successful candidate will demonstrate experience in one or more of the following areas:
- Strategic Financial Oversight on the organisation’s capital management, investment strategies, and long-term financial sustainability
- Mergers & Acquisition and transactional experience in due diligence processes, risk mitigation, and the financial structuring of strategic acquisitions or structural integrations
- Experience in assessing financial viability, overseeing financial planning, and funding arrangements
- Governance & Compliance: Ensure robust financial governance and risk management, meeting the standards expected by donors, partners, and regulators
- Professional experience in identifying, assessing, and responding to strategic, financial, operational and reputational risks and opportunities
- Professional experience in examining financial reports, monitoring financial compliance and accountability
- Ability to apply experience and knowledge to broader risk frameworks, and with a range of internal controls required of a complex entity
- Experience either as a member of an audit committee or working with audit committees
Selection Criteria
The successful candidate will demonstrate:
- A minimum of 10 years senior executive or advisory experience in corporate finance, investment banking, or top-tier transaction services
- A Chartered Accounted (CA), Certified Practicing Accountant (CPA), or equivalent
- Technical expertise in mergers & acquisition execution, deal structuring, and corporate due diligence
- Alignment with our values and a strong commitment to the NFP sector
- An ability to influence strategic innovation to drive sustainability
- A Strong understanding of financial governance, risk management, and regulatory frameworks
- Financial literacy including interpretation of income statement, balance sheet, statement of recognised income and expense, cash flow statement and notes to the accounts, and understand generally accepted accounting principles
- Able to identify risks, raise red flags, and ask appropriate questions based on the financial reports
